1. Scope of Services
Contractor will provide professional cleaning services as scheduled and agreed in writing, following applicable checklists and any site-specific instructions provided by the Client. Variations must be approved prior to work commencing.
2. Scheduling & Access
Contractor will arrive during the agreed service window. Client will ensure safe access to the premises and communicate any security, alarm, or site induction requirements in advance.
3. Materials & Equipment
Unless otherwise agreed, Contractor supplies all cleaning materials and equipment that are suitable for the scope. Products should be low-VOC and compliant with relevant regulations. Safety Data Sheets (SDS) must be available upon request.
4. Payment Terms
- Invoices issued weekly or fortnightly (unless otherwise agreed in writing).
- Payment due within 14 days of invoice date.
- Late payments may incur a 2% monthly late fee (or the maximum permitted by law), plus reasonable recovery costs.
- Disputed amounts must be notified within 7 days; undisputed portions remain payable on time.
5. Cancellations & Delays
- Client cancellations with less than 24 hours’ notice may be charged up to the full scheduled amount.
- Site access delays beyond 30 minutes caused by Client may be billed at the agreed hourly rate.
6. Health, Safety & Compliance
- Contractor will comply with all WHS/OHS requirements and maintain appropriate PPE.
- Hazardous areas and confined spaces require prior written approval and documentation.
- Spills and incidents will be recorded and escalated according to site procedures.
7. Insurance
Contractor will maintain adequate Public Liability and, where applicable, Workers’ Compensation/Personal Accident insurance. Certificates of currency must be provided upon request.
8. Quality Assurance & Rework
Any reasonable quality issues reported within 24 hours will be addressed by the Contractor at no additional cost. Persistent issues may trigger a review and corrective action plan.
9. Liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss. Contractor’s aggregate liability arising out of the services is limited to the amount paid for the affected services during the preceding 3 months.
10. Confidentiality & Privacy
Each party will keep confidential information private and use it only for the purposes of delivering or receiving services. Personal information will be handled in accordance with applicable privacy laws.
11. Term & Termination
- This agreement commences on acceptance and continues until terminated as allowed herein.
- Either party may terminate on 14 days’ notice or immediately for material breach not remedied within 7 days.
12. Dispute Resolution
Parties will first attempt to resolve disputes in good faith negotiation. If unresolved, disputes may be referred to mediation before litigation, unless urgent injunctive relief is required.
13. Governing Law
This agreement is governed by the laws of the jurisdiction where services are primarily performed, and the parties submit to the courts of that jurisdiction.
14. Acceptance
By completing the electronic signature below and submitting the form, the Contractor confirms they have read, understood, and agree to these terms.
